2. Acceptance of terms

By submitting an enquiry, confirming a booking, or attending a first session, you confirm that you have read and agree to these Terms & Conditions. You must be at least 18 years of age and have the legal capacity to enter into a service agreement. If you are engaging on behalf of an organisation, you confirm that you have authority to bind that organisation.

3. Service description and availability

Vessalyn provides administrative and logistical support services for families and community groups in Malaysia. All Services are described in detail on our website and in the Scope Document provided before each engagement. Services are currently available to clients within Malaysia only. Appointment-based sessions take place in Kuala Lumpur or, for Community Support Circle Programme training days, at a venue agreed with the organising group within the Klang Valley.

5. Intellectual property

The facilitator's handbook, participant workbook, and all written materials produced by Vessalyn remain the intellectual property of Vessalyn. For the Community Support Circle Programme, the participant workbook is licensed to the organising group for unlimited internal use within their organisation only. This licence is non-transferable and does not permit commercial reproduction, sale, or distribution to third parties.

Templates and documents produced specifically for an individual client engagement (such as a co-parenting calendar or a family records contents page) are the property of the client upon delivery.

6. Payment terms

All fees are quoted in Malaysian Ringgit (RM). The fees at the date of these terms are: Co-Parenting Logistics Toolkit — RM 620; Family Records Consolidation — RM 1,480; Community Support Circle Programme — RM 4,550. Fees are payable prior to or at the first session unless otherwise agreed in writing. We accept bank transfer and selected electronic payment methods; the available methods will be confirmed at the time of booking.

If your situation requires sessions beyond the stated scope, any additional fee will be agreed in writing before those sessions proceed. Fees already paid for completed sessions are non-refundable. If an engagement has not yet begun, a full refund will be provided upon written request.

7. Service delivery terms

Each Service is delivered according to the Scope Document provided at the start of the engagement. Sessional appointments are arranged by mutual agreement. You may pause an engagement at any time by notifying us in writing; the engagement may be resumed within 12 months of the pause date at no additional fee. After 12 months, a new Scope Document and fee arrangement will be required to resume.

Vessels retains no copies of client documents after the final deliverable has been handed over. The encrypted archive produced in the Family Records Consolidation service is delivered on hardware or storage media you provide or agree to.

8. Disclaimers

Vessalyn provides administrative and organisational support only. Nothing in any Service, Scope Document, session, or written output constitutes legal advice, financial advice, clinical assessment, family therapy, or any form of regulated professional practice. All outputs are provided for organisational and logistical purposes only.

We do not represent or warrant that templates, calendars, or documents produced will be accepted by any court, authority, or third party, or that they will produce any particular outcome in any dispute or proceeding.

9. Limitation of liability

To the fullest extent permitted by Malaysian law, Vessalyn's total liability to you arising out of or in connection with any Service shall not exceed the fee paid for that Service. We shall not be liable for any indirect, consequential, or special loss, including loss of income, loss of data, or loss arising from reliance on Service outputs in legal or financial matters.

Nothing in these terms limits our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

10. Indemnification

You agree to indemnify and hold harmless Vessalyn and its staff from any claims, losses, or expenses (including reasonable legal costs) arising from your misuse of Service outputs, your breach of these Terms, or any claim by a third party arising from your use of the Co-Parenting Logistics Toolkit templates or Community Support Circle Programme materials.

11. Termination

Either party may terminate an engagement at any time by written notice. Upon termination, fees for sessions already completed are non-refundable. Any materials produced and delivered to you up to the point of termination remain yours. Termination does not affect any rights or obligations that arose prior to the termination date. Sections 5, 8, 9, 10, and 13 survive termination.

12. Confidentiality

Vessalyn treats all personal information and document contents encountered during a service engagement as confidential. Staff will not disclose client information to third parties except as required by Malaysian law or with your written consent. Details of community circle sessions (discussed in quarterly supervision calls) are treated anonymously.

13. Dispute resolution and governing law

These Terms are governed by the laws of Malaysia. If a dispute arises in connection with these Terms or any Service, the parties agree to first attempt to resolve the matter informally by written communication within 30 days. If the dispute is not resolved informally, it shall be referred to mediation under the rules of the Malaysian Mediation Centre before any legal proceedings are commenced. The courts of Malaysia shall have jurisdiction over any dispute that proceeds to litigation.

15. Changes to these terms

We may update these Terms from time to time. The current version will be published on this page with the effective date shown at the top. Continued use of our website or Services after an update constitutes acceptance of the revised Terms. For ongoing engagements, material changes to the Terms will be communicated to you by email at least 14 days before they take effect.
